Details about the Board of Directors
The Board of Catalina Foothills Estates #7 is a volunteer Board.
The prime responsibility of the Board of Directors shall be
to uphold and enforce the Declaration of Protective Covenants applicable
to the property described in Article I, Section 1 in the restated
Bylaws of Catalina Foothills Estate No.7 Association. The Board of Directors shall be elected from the membership
of the Association. There shall be nine directors each serving a
term of three years elected in groups of three whose terms expire
in consecutive years. A nominating committee of three Directors
shall present a slate of nominees for the positions
to be filled. Nominations may also be made from the floor. However,
if vacancies occur before next annual meeting five or more Directors
may continue to function until vacancies are filled.
No such director shall hold office for more than two consecutive
terms and having served two consecutive terms, he/she shall be ineligible
for further election until the next annual meeting of the Association
following the meeting at which his/her second consecutive term of
office expired.
Officers of the Board: shall be a President, a Vice President,
a Secretary, a Treasurer and other such officers as shall be determined
by the Board of Directors. The offices of Secretary and Treasurer
may be combined into one of Secretary-Treasurer.
President: shall be the chief executive officer of the Association
and shall preside at all meetings of the members of the Association
and of the Board of Directors. Unless the Board of Directors by
resolution specifies otherwise, the President shall be an ex-officio
member of all committees of the Association, except the Nominating
Committee.
Vice-President: In the absence of or during the disability
of the President, the Vice President shall have all powers of and
perform all duties of the President. The Vice President shall have
and perform such other duties as may be assigned to him/her from
time to time by the Board of Directors.
Treasurer: shall have general charge and supervision of
the books and records of account of the Association, and subject
to the direction of the Board of Directors, shall have charge of
and be responsible for all funds and securities of the Association.
He/she renders monthly financial reports to the Board of Directors,
and an annual financial report to the membership. He/she shall have
the usual powers an duties of treasurer of a corporation, including
the power to give receipts and releases in its name for cash, securities
or other property delivered to it, and shall perform such other
duties as may be assigned to him/her from time to time by the Board
of Directors.
The Treasurer shall, if required by the Board, furnish a bond in
such form and with one of more sureties satisfactory to the Board
of Directors for the faithful performance of duties of his/her office,
and for the restoration to the corporation in case of his/her death
resignation, retirement or removal from office of all books, papers,
voucher, moneys and other property and assets of whatever kind in
his her possession or under his/her control belonging to the corporation.
Standing Committees
Project Review Committee: Chairperson and at least
two members. Chairperson acts as the official Approving Agent of
the Association. The Board of Directors will review plans for new
construction prior to final approval, and will be the final authority
for approval of height of any structure, and granting of and variances
to set-back requirements. Records of all approvals and disapprovals
will be maintained and submitted to the Secretary annually for permanent
record.
Covenant Enforcement Committee: Chairperson and at least
two members. The committee is charged with the enforcement of all
Protective Covenants as described in the Declaration of Protective Covenants.
Records will be maintained indicating dates, actions and disposition
of all complaints received from any source. This information will
be provided to the Secretary annually for permanent recording. Application
for binding arbitration as authorized in the Declaration of Protective
Covenants shall be authorized by vote of the Board.
Creating Other Committees
Each Year the Board of Directors shall create and elect members
and determine the powers and duties of the following named such
other committees as may be deemed necessary or advisable in conducting
the business and affairs of the Association.

Nominating Committee
Volunteers: Volunteers are always welcomed to serve on the
Board of Directors. Refer to the bylaws for qualifications. Contact
any Board Members, Nominating Committee or the Secretary to volunteer.
